Perranarworthal Village Memorial Hall Constitution
THIS CONVEYANCE is made the Thirty first day of December One thousand nine hundred and sixty four between GLADYS DOREEN VISICK of Bosporthennis Perranwell Station Truro in the County of Cornwall (Widow) and ARTHUR JEFFERY LYNE of 7 Pydar Street Truro in the said County of Cornwall (hereinafter called "the Executors") of the one part and the PARISH COUNCIL OF THE PARISH OF PERRAN AR WORTHAL in the said County of Cornwall (hereinafter called "the Trustees") of the other part.
WHEREAS:-
1) Horace Andre Visick late of Bosporthennis Perranwell Station Truro aforesaid (hereinafter called "the Testator") died on the twenty eighth day of December One thousand nine hundred and sixty three and his will was proved on the twelfth day of February One thousand nine hundred and sixty four in the Bodmin District Probate Registry by the Executors.
2) The testator was at his death seised of the property hereby conveyed for an estate in fee simple in possesion subject as hereinafter mentioned but otherwise free from incumbrances upon trust at the request and cost of the Trustees to convey the same to them or otherwise deal with the same as they shall direct.
3) At the request of the Trustees as signified by their execution hereof the Executors as the personal representatives of the Testator have agreed to convey the said property to the Trustees in Manner hereinafter appearing.
4) The executors have not given or made any assent or conveyance in respect of a legal estate in or affecting the said property or any part thereof.
NOW THIS DEED WITNESSETH: that for effectuating the said request for the Trustees the Executors as Personal Representatives of the Testator hereby without any valuable consideration convey unto the Trustees ALL THAT the property more particularly described in the Schedule hereto TO HOLD the same unto the Trustees in fee simple upon trust nevertheless for the charity hereby constituted and to be administered according to the rules and provisions hereinafter contained.
1) The Trustees shall hold the property hereby conveyed upon trust to permit the same to be used in perpetuity as a place of recreation and social intercourse under the name of the Perran ar Worthal Village Memorial Hall (hereinafter called "the hall") for the advantage or benefit of the inhabitants of the parish of Perran ar Worthal and of the surrounding districts either gratuitously or in consideration of any money payment or on such terms as the Trustees may think fit.
2) The Trustees may from time to time permit the building for the time being standing on the said property to be repaired or altered enlarged or taken down and rebuilt if necessary so as to render the same better adapted for the purpose aforesaid and may permit the erection of additional buildings.
3) The Trustees shall not be responsible for the maintenance or repair or insurance of the said property or for the payment of any charges thereon.
4) If the Hall cannot be maintained or if the same shall cease to be used or of use for the purposes aforesaid the Trustees shall have power with such consent (if any) that may be required by law to sell the said property or any part thereof and pay and apply the net proceeds of such sale after payment of all expenses incidental thereto for such charitable purposes for the benefit of the inhabitants of the said parish of Perran-ar-Worthal and in such manner as the Trustees shall think fit.
5) Upon any sale made in pursuance of the power of sale hereinbefore contained or of any statutory power any purchaser dealing bona fide with the Trustees shall not be concerned to enquire whether the occasion for exercising such power has arisen or whether the provisions as to the appointment and retirement of Trustees hereinafter contained has been properly and regularly observed and performed nor shall any such purchaser be concerned as to the application of the purchase money.
6) The management and control of the Hall shall be vested in a committee (hereinafter called "the Committee") constituted as hereinafter directed.
7) The Committee shall consist of twelve elected members. After the appointment of the first elected members such shall be elected as hereinafter mentioned.

9) All the members of the committee shall retire from office on the thirty first day of May in each year.
10) Shortly before the thirty first day of May, in each year a parish meeting shall be held for the purpose of electing persons to be members of the committee for the following year in place of the persons then retiring in accordance with Clause 9 thereof.
11) Not more than three persons residing outside the parish of Perran ar Worthal shall at any one time be eligible to hold offices as elected members and any elected members ceasing to reside in the said parish shall forthwith cease to be a member if he thereby increases the number of non-resident elected members to more than three.
12) Every member retiring in accordance with Clause 9 hereof shall be eligable for re-election to the management committee for the following year in accordance with Clause 11 hereof.
13) Casual vacancies among the elected members arising before any annual meeting may be filled by the committee but so that any elected member elected to fill a casual vacancy shall hold office only for the period during which the elected member in whose place he was elected would have held office.
14) Candidates for appointment as elected members shall be proposed and seconded by two parishioners of the said Parish. Names of such candidates together with the names of their proposers and seconders shall be sent to the committee not less than fourteen clear days at least before the election. The names and addresses of the candidates and the proposers and seconders shall be posted upon the principle outer door of the hall, not less than seven clear days before the election.
15) The Committee may from time to time delegate any of their powers or duties to the sub-committee consisting of such members thereof as the committee may think fit.
16) At least fourteen days clear notice of a Parish Meeting to elect the committee shall be given by displaying a copy of such notice upon the principle outer door of the Hall and a further copy thereof in such places as the committee shall consider suitable.
17) The Chairman of the Committee for the time being shall preside at such meeting or in his absence some member of the committee to be chosen by a majority of the persons present and voting at such meeting.
18) Any parishioner of the said Parish who has attained the age of eighteen years shall be entitled to attend and vote at such annual meeting.
19) If for any reason whatsoever a parish meeting shall not be held as aforesaid before the thirty first day of May in any year for the purpose of electing a committee, the members of the committee due to retire on that day shall remain in office until the parish meeting has been held and a new management committee elected thereat.
20) The quorum at any parish meeting held for the purpose of electing the committee as aforesaid shall be fifteen persons entitled to vote at such meeting.
21)Ordinary meetings of the committee shall be held at such times (not being less than four in every year ending the thirty first day of May) as the committee shall determine and seven days notice of every meeting shall be sent to the members of the committee through the post by such officer as the committee shall appoint for that purpose.
22) At the meeting of the committee next after the parish meeting held for the purpose of electing the committee or next after any vacancy shall have occured in the chairmanship, the members of the committee present shall appoint one of the committee to be chairman of the committee until the end of the next meeting for the election of the committee. If at any meeting of the committee the chairman is not present or if there is any vacancy in the chairmanship the members of the committee present at such meeting shall appoint a chairman for that meeting. Six members present shall be a quorum and every question shall be determined by the majority of the members present and voting thereon and incase of equality of votes the chairman shall have a second or casting vote.
23) At the parish meeting for electing members to the committee the accounts of the hall for the past year shall be submitted
24)A minute book shall be kept by the committee and all proceedings and resolutions of the committee shall be entered therein.
25) Any notice to be given to any member of the committee under this deed shall be sufficiently given if sent through the post to his usual or last known place of residence.
26) The Committee shall have power at any time or times to close the hall for the purpose of carrying out repairs or alterations or other similar work for such period as may be necessary.
27) If any member of the committee shall fail to attend three successive meetings of the committee the committee shall have power to resolve that such member be removed and to elect someone to replace such member in accordance with clause 14 hereof.
28) Subject to these present the committee shall have full power at any time to make, alter or rescind any bylaws and rules with regard to the carrying on and the managing of the hall and trust property and to all or any of the matters in respect of which any power or duty is hereby vested in them as they may think proper.
29) The committee may require such subscriptions from all or any persons using the hall or trust property as they may from time to time think desirable and proper.
30) The Committee may from time to time permit the hall to be used upon such terms and conditions as to payment or otherwise as the committee may think fit for the purposes of physical and mental training and recreation and social moral and intellectual development through the medium of reading and recreation rooms library lectures classes recreations and entertainments or other use as may be found expedient for the benefit of the inhabitants of the parish of Perran ar Worthal and its immediate vicinity.
31) All monies received by the committee under or for the purpose of this deed shall be applied in repairing and improving the hall and keeping the same and furniture and effects from time to time therein insured against fire and otherwise as the committee shall deem necessary and in paying all rates and other outgoings from time to time becoming payable in respect thereof and in paying all expenses incidental to carrying on the hall and providing and repairing furniture books newspapers periodicals and such other things as may be required for the purposes of the hall and paying the wages of all officers and servants whom the committee may think proper to employ for the purposes of this deed or otherwise in executing the trust and powers herein contained.
32) The power of appointing new trustees shall be vested in the trustees for the time being hereof.
33) It is hereby certified that the transaction hereby effected does not form part of a larger transaction or a series of transactions in respect of which the amount or value or the aggregate amount or value of the consideration exceeds the sum of four thousand five hundred pounds.
